Service Agreement

This is my standard agreement. The copy you sign, digitally by email or on paper if we meet in person, matches exactly what you see here.

This Service Agreement (the “Agreement”) is made between Conor Fayard, operating as Conor Studio (the “Provider”), a sole proprietor based in Northern Illinois, and the client named in the accompanying invoice (the “Client”). It takes effect on the date the Client accepts it.

  1. 1. Services

    Provider will design, build, host, and manage a website and any related tools for the Client, as described in the proposal and invoice provided to the Client. That written description defines the scope of work. Anything outside it is a separate engagement, agreed in writing before it begins.

  2. 2. Client responsibilities

    The Client will provide the content, images, branding, access, and timely feedback reasonably needed to complete the work. Provider is not responsible for delays caused by late or missing materials.

  3. 3. Payment

    No deposit is required. Provider will build the website and present it to the Client for review before any payment is due. If the Client approves, the Client pays the one-time build fee stated in the invoice, and the website goes live. Provider then hosts and manages the website for the recurring monthly fee stated in the invoice. All payments are processed through Stripe.

  4. 4. Revisions

    The build includes two (2) rounds of revisions. Additional changes are billed at Provider's stated rate or covered under an active monthly plan.

  5. 5. Hosting, domain, and maintenance

    Provider provides and manages the hosting, domain, security, backups, and updates as part of the monthly plan. The website remains live and maintained for as long as the monthly plan is active.

  6. 6. Ownership

    The Client's brand, content, and customer data remain the property of the Client. The website, hosting, and domain are provided as part of Provider's ongoing service. Provider may display the completed work as part of its portfolio unless the Client requests otherwise in writing.

  7. 7. Term and cancellation

    Either party may cancel the monthly plan at any time, with no long-term commitment. Because the website is hosted and managed by Provider, cancellation will take the website offline. Fees already paid are non-refundable.

  8. 8. Confidentiality

    Each party will keep the other's non-public business information confidential.

  9. 9. Independent contractor

    Provider performs this work as an independent contractor, and not as an employee, partner, or agent of the Client.

  10. 10. Limitation of liability

    Provider delivers the work to the agreed scope and will correct defects within that scope. Provider is not liable for indirect, incidental, or consequential damages, and Provider's total liability under this Agreement will not exceed the total fees paid by the Client.

  11. 11. Governing law

    This Agreement is governed by the laws of the State of Illinois.

  12. 12. Acceptance

    By signing below, or by confirming acceptance in writing, both parties agree to the terms of this Agreement.
